Effective Date: 21 June 2026
This Vendor Agreement (“Agreement”) is entered into between A Price, an online marketplace operated from 31, Sarang Society, Near Reliance Market, Garkheda Road, Adjacent to S B Farm Food, Chhatrapati Sambhajinagar – 431005, Maharashtra, India (“Platform”, “A Price”, “we”, “our”, or “us”), and the individual, firm, company, LLP, proprietorship, partnership, or other legal entity registering as a seller on the Platform (“Vendor”, “Seller”, “you”, or “your”).
By registering as a Vendor and using the Platform, you agree to comply with this Agreement.
1. Appointment
The Platform authorizes the Vendor to list, market, and sell approved products through A Price on a non-exclusive basis. This Agreement does not create any partnership, agency, employment, franchise, or joint venture relationship between the parties.
2. Vendor Eligibility
The Vendor represents and warrants that:

It is legally authorized to conduct business in India.

It possesses all necessary registrations, licenses, permits, and approvals.

GST registration details, where applicable, are valid and active.
-
Information submitted to the Platform is accurate and complete.
-
It has authority to enter into this Agreement.
3. Vendor Registration
The Vendor shall provide:

Business name and address
-
Contact information
-
Bank account details
-
PAN and GST details (where applicable)
-
Identity and address proof
-
Any additional documentation requested by the Platform
The Platform reserves the right to verify any information before approval.
4. Product Listing Requirements
The Vendor shall ensure that:

Products are genuine, authentic, and legally saleable.
-
Product descriptions accurately represent the item.
-
Images are genuine and not misleading.
-
Product prices are accurate.
-
Inventory information is regularly updated.
-
Products comply with all applicable laws and regulations.
The Platform may reject, edit, suspend, or remove any listing at its discretion.
5. Prohibited Products
The Vendor shall not sell:

Counterfeit products
-
Illegal products
-
Stolen goods
-
Hazardous or prohibited items
-
Products violating intellectual property rights
-
Products restricted by Indian law
The Platform may immediately remove such listings and suspend the Vendor account.
6. Orders and Fulfilment
The Vendor shall:

Accept and process orders promptly.
-
Dispatch orders within the prescribed timelines.
-
Maintain sufficient inventory.
-
Provide tracking information whenever available.
-
Package products securely.
Failure to meet service standards may result in penalties or suspension.
7. Shipping and Delivery
The Platform may arrange shipping directly or through third-party logistics providers.
Delivery charges may be borne by the customer, Vendor, Platform, or shared between the parties depending upon the applicable order, promotional scheme, logistics arrangement, or marketplace policy.
The Platform reserves the right to determine shipping charges and logistics procedures at its sole discretion.
8. Returns, Replacements and Refunds
The Vendor agrees to comply with all return, replacement, cancellation, and refund policies published by the Platform.
The Vendor shall cooperate in resolving customer complaints and may be responsible for costs arising from:

Wrong products shipped

Defective products
-
Damaged products
-
Vendor-caused delivery failures
9. Payments and Settlement
Vendor payments shall be settled after deduction of:

Marketplace commissions
-
Payment gateway charges
-
Taxes and statutory deductions
-
Shipping and logistics charges
-
Refunds and chargebacks
-
Penalties and adjustments
Settlement schedules shall be determined by the Platform and may be modified from time to time.
10. Customer Service Standards
The Vendor shall:

Maintain professional conduct.
-
Respond to customer queries promptly.
-
Provide after-sales support where applicable.
-
Resolve complaints in a reasonable timeframe.
Repeated customer dissatisfaction may lead to corrective action.
11. Intellectual Property
The Vendor grants the Platform a royalty-free, non-exclusive right to use product names, descriptions, trademarks, logos, images, and related content for marketplace operations, advertising, promotions, and marketing activities.
The Vendor warrants that all uploaded content does not infringe any third-party rights.
12. Data Protection and Confidentiality
The Vendor shall:

Protect customer information.

Use customer data solely for order fulfilment.
-
Comply with applicable privacy and data protection laws.
-
Maintain confidentiality of Platform information.
Customer information shall not be sold, shared, or used for unauthorized marketing purposes.
13. Fraud Prevention
The Vendor shall not:

Create fake orders.
-
Manipulate reviews or ratings.
-
Engage in fraudulent activities.
-
Circumvent Platform fees.
-
Misrepresent products or inventory.
Any suspected fraud may result in immediate suspension without notice.
14. Suspension and Termination
The Platform may suspend or terminate Vendor access at any time for:

Breach of this Agreement.
-
Fraudulent activity.
-
Customer complaints.
-
Regulatory concerns.
-
Non-compliance with Platform policies.
The Platform’s decision regarding account suspension or termination shall be final.
15. Indemnity
The Vendor agrees to indemnify and hold harmless A Price, its proprietors, affiliates, employees, agents, and partners against all claims, liabilities, damages, losses, costs, expenses, and legal proceedings arising from:

Vendor products
-
Vendor conduct
-
Legal violations
-
Intellectual property claims
-
Customer disputes
16. Limitation of Liability
The Platform shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from marketplace operations, customer disputes, logistics services, payment delays, technical interruptions, or third-party actions.
The maximum liability of the Platform shall not exceed the amount payable to the Vendor for the specific transaction giving rise to the claim.
17. Force Majeure
Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, strikes, civil disturbances, or acts of God.
18. Amendments
The Platform may modify this Agreement from time to time. Updated versions shall become effective upon publication on the Platform.
Continued use of the Platform after such publication shall constitute acceptance of the revised Agreement.
19. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of India.
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located at Chhatrapati Sambhajinagar, Maharashtra.

Acceptance
By registering as a Vendor on A Price, you acknowledge that you have read, understood, and agreed to be bound by this Vendor Agreement and all related marketplace policies.
