Vendor Registration Terms & Conditions

Effective Date: 15 June 2026

These Vendor Registration Terms & Conditions (“Agreement”) govern the relationship between A Price (“Platform”, “we”, “our”, or “us”) and the registered vendor (“Vendor”, “Seller”, “you”, or “your”) using the marketplace platform available at https://www.aprice.in.

1. Eligibility

1.1 Vendors must be legally eligible to enter into contracts under applicable Indian laws.

1.2 Vendors must possess all required registrations, licenses, GST registrations, permits, and approvals necessary for the sale of their products.

1.3 Vendors shall provide accurate business information, contact details, bank account details, GST information, and any other documents requested by the Platform.

2. Vendor Account

2.1 Vendors are responsible for maintaining the confidentiality of their account credentials.

2.2 The Platform reserves the right to verify vendor information at any time.

2.3 Any false, misleading, or fraudulent information may result in immediate suspension or termination of the vendor account.

3. Product Listings

3.1 Vendors are solely responsible for the accuracy of product descriptions, specifications, pricing, images, warranties, and inventory levels.

3.2 Vendors shall not list prohibited, counterfeit, illegal, hazardous, or infringing products.

3.3 All listed products must comply with applicable Indian laws and regulations.

3.4 The Platform reserves the right to remove, modify, or suspend any product listing without prior notice.

4. Pricing and Inventory

4.1 Vendors shall maintain accurate pricing and stock availability.

4.2 Vendors are responsible for fulfilling orders at the listed price.

4.3 Intentional price manipulation or inventory misrepresentation may result in penalties or account suspension.

5. Order Fulfilment

5.1 Vendors shall process and dispatch orders within the timelines specified by the Platform.

5.2 Vendors shall ensure proper packaging and shipping of products.

5.3 Vendors are responsible for providing tracking details where applicable.

5.4 Repeated delays or failure to fulfill orders may result in account restrictions.

6. Returns and Refunds

6.1 Vendors shall comply with the Platform’s Return, Refund, and Cancellation Policies.

6.2 Approved returns shall be processed promptly.

6.3 Vendors shall cooperate in resolving customer complaints and disputes.

7. Payments and Settlements

7.1 Payments shall be settled to vendors after deduction of applicable commissions, taxes, shipping charges, payment gateway fees, penalties, and other agreed charges.

7.2 Settlement schedules shall be determined by the Platform.

7.3 The Platform may withhold settlements in cases involving fraud investigations, chargebacks, disputes, policy violations, or legal requirements.

8. Vendor Obligations

Vendors agree to:

• Maintain product quality standards.
• Provide genuine and authentic products.
• Respond promptly to customer inquiries.
• Comply with all tax obligations.
• Protect customer information and privacy.
• Follow all marketplace policies issued by the Platform.

9. Intellectual Property

9.1 Vendors grant the Platform a non-exclusive right to use product images, trademarks, descriptions, and promotional content for marketing and operational purposes.

9.2 Vendors warrant that they possess all necessary rights to the content uploaded to the Platform.

10. Prohibited Activities

Vendors shall not:

• Sell counterfeit goods.
• Violate intellectual property rights.
• Manipulate reviews or ratings.
• Engage in fraudulent transactions.
• Circumvent Platform fees.
• Misuse customer information.

11. Suspension and Termination

The Platform may suspend or terminate vendor accounts for:

• Violation of these Terms.
• Fraudulent activity.
• Excessive customer complaints.
• Legal or regulatory violations.
• Failure to maintain service standards.

12. Limitation of Liability

The Platform shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from vendor activities, customer disputes, shipping issues, or third-party services.

13. Indemnification

Vendors agree to indemnify and hold harmless the Platform, its owners, employees, affiliates, and partners against claims, losses, damages, liabilities, costs, and expenses arising from vendor actions, products, or violations of law.

14. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Chhatrapati Sambhajinagar, Maharashtra, India.
